hELP IS NEEDED WITH - Dissolution of Articles of Incorporation

I have a problem and am in need of some assistance. Myself and 3 of
my business partners created a linkage with a group within a church.
Myself being the head of my group, signed off on it, along with the
head of there group. As we began to get to know each other,
collectively, we decided to do business together, so me and one of my
partners, along with the head of the other group, signed on the dotted
line for the Articles of Incorportation. As time progressed, the
other parties decided that they no longer wanted to do business with
us, so we parted ways. As my group moved forth, we files our own
articles of Incorporation and am presently preparing to complete our
501(c)3. In the interim, I contacted the head of the other group and
requested some comfirmation that the articles of incorporation that we
did with them was dissolved. Initially his response was positive, but
later came back as if he was apauled and stated that we should just
trust that they would handle it.

How do we (my group), go about making sure this has been done & will
or could it affect us in our present business ventures if it is not
taken care of? Please advise!!

What state are you in? Dissolution procedures vary slightly with each
state. Dissolution typically requires board approval and approval of a
majority of the stockholders. Depending on the situation they may need to
involve people from your group.
